(each a “Party” and together the “Parties”)

This Agreement refers to personal contact data and engagement analytical data about attendees (“Data Subjects”) at an event or events run by KGH Concept GmbH including TechBlick online (virtual) events shared with the above-named event partner for the purpose of follow up communication and sharing of relevant information based on the event interactions.

Parties to this Agreement undertake that information shared under the Agreement will only be used for the specific purpose for which it was shared, in line with this Agreement. It must not be shared for any other purpose outside of this Agreement.

This Agreement will remain in place from the date of signature for a period of 12 months (the “Term”), unless extended in writing by both Parties , and covers all and any data shared between parties subsequent to this date.

Data covered under this Agreement may include personal data, contact data, participation data or metrics for any attendees at KGH Concept GmbH’s events including the TechBlick online/virtual events where that data has been collected with consent from the individual concerned (“Personal Data”). Both Parties will keep reasonable records to evidence the compliance with obligations under the GDPR and relevant privacy regulations.

All Personal Data shared must be stored securely. In the event that KGH Concepts GmbH receives any request from a Data Subject to disclose, provide a copy, modify, block, or delete or take any other action with respect to Personal Data pertaining to the Data Subject. KGH Concepts GmbH will immediately take the necessary steps to comply with such and similarly provide the Client with written notice of such request.

In the event that either Party has discovered or  has suspected a potential breach of the  Personal Data (“Security Event”), such Party shall immediately notify the other of such, and shall provide notice without delay of such Security Event and take steps to mitigate the harm resulting from such Security Event without disclosing such to any third-party unless required to by the applicable law.

Further to Section 4 above, KGH Concepts GmbH warrants that all Personal Data has been collected, retained and archived with the proper consent of all Data Subjects and shall be solely liable if it has breached its privacy obligations with regards to such collection or retention.

The recipient will not release the data to any third party without obtaining the express written authority of the partner who provided the information, except as required by the applicable law.

This Agreement is governed by, and is to be construed in accordance with, German law. The German Courts will have non-exclusive jurisdiction to deal with any dispute which has arisen or may arise out of, or in connection with, this Agreement.
